We are looking for experienced, flexible legally trained professional to advise on, draft and negotiate sophisticated agreements in various sectors, most notably in the technology sector between CAE and its suppliers. Based in Montreal, this role is a key player in enabling business deals with suppliers to proceed in a timely manner while advising and/or negotiating contractual terms for CAE.

Main responsibilities:

  • Identify legal and contractual solutions to enable procurement and business teams to close the deal and achieve operational/technical/savings objectives.
  • Draft and negotiate different types of contracts related to all CAE business units such as but not limited to Software as a Service (SAAS) agreements, license agreements, contracts for acquisitions of goods & services, memorandum of agreements, letters of intent and partnerships agreements.
  • Recommend a legal and contractual risk mitigation strategy for such terms as indemnification, liabilities, warranties in addition to commercial and business terms.
  • Provide advice to procurement teams and business units on all contractual issues related to supply and joint collaborations with a focus in Intellectual Property and Technology licensing and agreements.
  • Lead the development and implementation of various contract templates including but not limited to digital and software licensing.

The successful candidate shall have:

To be successful in the position, the candidate must have a history of demonstrating the following qualities or skills:

  • University degree in law or relevant equivalent experience.
  • Three to eight (3-8) years’ experience working in a law firm or a corporation, including experience in the negotiation of licensing agreements, intellectual property, commercial transactions and drafting of commercial agreements.
  • Flexible in contract negotiations and able to propose legal solutions to enable procurement and business team to close the deal.
  • Drafts and creatively adapts contractual language based on business needs and requirements as communicated by stakeholders by little to no contractual skillsets.
  • Collaborates with various stakeholders using good business acumen and customer-focused mind-set
  • Autonomous, proactive and capable of multi-tasking within a high pressure, fast-paced environment, with tight deadlines.
  • Agile in the use of digital tools such as MS Office, SAP Ariba.
  • Excellent communication skills.
  • Bilingual (French and English), both orally and in writing.
