The Role

The Manager, Corporate Actions & Income processing Tax Reporting is a specialized subject matter expert responsible for providing centralized tax guidance, governance, and oversight for Corporate Action and Income events impacting client holdings. The role is responsible for providing analysis and determining the appropriate tax treatment of events, issuing tax opinion summaries, and ensuring all tax implication on both the Canadian and U.S. tax reporting requirements are correctly applied. 

 

This position plays a key role in reducing operational, regulatory, and reputational risk by ensuring accurate tax treatment, strengthening controls, and establishing a centralized knowledge base for Corporate Action tax reporting.

Tax Analysis & Opinion Development 

  • Perform detailed tax analysis for Corporate Action and Income events affecting client positions. 
  • Review and interpret prospectuses, circulars, election materials, depository notices, issuer documentation, and other supporting legal documentation, including researching for additional information that may be required to support the analysis 
  • Determine appropriate tax treatment, withholding requirements, tax reporting implications, and tax characterization for each event. 
  • Develop and publish standardized Tax Opinion Summaries that provide clear operational guidance as well as document all analysis and reference material used to support the opinion. 
  • Ensure tax analysis is completed proactively ahead of payable dates to support timely processing and risk mitigation. 
  • Provide expert guidance on the tax implications of complex events and reorganizations.  

 

Corporate Action Tax Governance 

  • Develop and maintain a matrix of tax treatment methodologies referencing the accurate Tax Act provision that support the interpretation across all Corporate Action and Income event types. 
  • Serve as the primary control point for tax interpretation and guidance 
  • Develop and maintain governance standards, procedures, templates, and controls to support accurate tax treatment. 
  • Monitor regulatory, legislative, and market infrastructure developments that affect Corporate Action and Income tax reporting. 
  • Track incoming volume and establish efficiency to meet the fast-paced and quick turn-around service level agreement   
  • Ensure adherence to internal policies, regulatory requirements, and industry best practices. 
  • Support audit, compliance, risk management, and regulatory review activities related to Corporate Action tax reporting. 

  

Regulatory & Technical Tax Oversight 

  • Provide subject matter expertise and oversight for complex tax events, including:

Sections 302, 304, and 1446(f) events, FIRPTA transactions, foreign withholding taxes, cross-border Corporate Actions, and taxable reorganizations. The incumbent will ensure compliant tax reporting, escalate complex matters to Tax, Legal, Compliance, or external advisors as needed, and stay current on regulatory and market developments impacting Corporate Actions and tax reporting. 

 

Operational Risk Management 

  • Identify and assess tax reporting risks associated with Corporate Action and Income events. 
  • Conduct root cause analysis for tax-related processing exceptions, amendments, and remediation activities. 
  • Recommend and implement process improvements to reduce operational risk and improve control effectiveness. 
  • Partner with operational teams to resolve complex tax treatment issues and implement corrective actions where required. 
  • Support continuous improvement initiatives focused on efficiency, scalability, and risk reduction. 

 

Knowledge Management & Documentation 

  • Maintain a centralized repository of tax opinions, event analyses, and supporting documentation. 
  • Create reusable tax guidance, reference materials, and decision frameworks. 
  • Establish minimum documentation standards and supporting evidence requirements for tax analysis. 
  • Maintain historical event records to support future reviews, client inquiries, and tax reporting requirements. 
  • Develop and maintain advisor-facing summaries and educational materials as required.

 

Stakeholder Collaboration 

  • Partner with Corporate Actions, Asset Servicing, Client Tax Reporting, Wealth Management, Global Tax, and external tax advisors. 
  • Provide subject matter expertise guidance and consultation regarding event-specific tax treatment. 
  • Support business initiatives, process enhancements, and strategic projects impacting tax reporting and Corporate Actions. 
  • Act as a trusted advisor on Corporate Action and Income tax matters across the organization.  

 

Do you have the skills that will enable you to succeed in this role? – We’d love to work with you if you have:

  • University degree in Accounting, Finance, Taxation, Business Administration, Economics, Law, or a related discipline. 
  • Prior experience in Corporate Actions, Tax Operations, Asset Servicing, Securities Operations, Tax Reporting, or a related field. 
  • Demonstrated experience in analyzing complex Corporate Action events and determining appropriate tax treatment. 
  • Strong understanding of Canadian and U.S. tax reporting requirements applicable to securities and investment products. 
  • Experience working in a financial institution, broker-dealer, wealth management, custody, or asset servicing environment. 
  • CPA, CFA, LL.M. (Tax), JD, In-Depth Tax Program, MTax or equivalent professional designation. 
  • Experience with Qualified Intermediary (QI), FATCA, CRS, NRA withholding, and cross-border tax reporting obligations. 
  • Familiarity with DTCC, CDS, custodial processing, and global Corporate Action market practices.
