About the Opportunity
We are partnering with one of Canada’s most recognized and impactful charitable foundations to find a governance professional to step into a critical role. Reporting to the COO and VP, Legal, you will serve as the strategic backbone for the organization's governance framework, ensuring seamless operations during a pivotal transition period.
This is a high-visibility position where you will build trusted relationships with over 35 board members, senior leadership, and hospital staff. Your Responsibilities
You will lead the full governance cycle for the Board and its Committees, including managing calendars, preparing agendas, and overseeing the distribution of materials via the Diligent portal.
In this role, you will manage the onboarding process for new Board Chairs and members, ensuring they have the documentation and knowledge needed to succeed.
You will act as the primary point of contact for Board inquiries, fostering strong relationships and building trust through professional and responsive communication.
You will oversee compliance and regulatory filings across multiple jurisdictions to ensure the organization maintains good standing.
You will plan and organize offset events, retreats, and meetings, handling everything from high-level logistics to on-the-ground coordination.
Skills and Qualifications
5+ years of experience in corporate governance, board management, or a senior executive assistant role with a heavy focus on board relations.
Proven experience working with a large board (30+ members) and managing complex scheduling and documentation needs.
Strong background in compliance and legal documentation, with an understanding of regulatory filings.
Exceptional soft skills with the ability to "read the room." We are looking for someone who is adaptable, professional, and not overly rigid in their approach.
High proficiency in Microsoft Office and governance platforms like Diligent is highly preferred.
Excellent written communication skills, with the ability to draft minutes, resolutions, and policies accurately.
